PURCHASE AND MEMBERSHIP AGREEMENT

WELCOME TO WWW.DAMASKANDDENTELLE.COM (THE “WEBSITE”). PLEASE READ THIS AGREEMENT CAREFULLY AS IT GOVERNS YOUR ORDERS AND MEMBERSHIP TO THE WEBSITE OF Damask et Dentelle Inc., operating as Damask & Dentelle (“D&D”, “us”, “our”, “we”), AND CONTAINS OTHER IMPORTANT PROVISIONS THAT YOU SHOULD READ.

WHAT PRODUCTS DOES D&D OFFER
Damask & Dentelle offers an online repertory, free, comprising of the coordinates of all the independent decor retailers and artisans in the greater Montreal. To encourage consumers in discovering new décor destinations, D&D sells membership cards (“D Card” or “Card”) through its Website. The annual D Card™ membership fee is $50 for the consumer card.

MEMBERSHIP & CONDITIONS
To order Damask & Dentelle’s D Card you must become a member of D&D by clicking on THE CARD section of the Website and following the instructions indicated.
Each membership D Card includes a card granting its owner discounts in D&D’s partner boutiques. Members will also receive our newsletters, calendar of events, and unlimited access to the website.

CONDITIONS

D Card™ discounts will solely be extended by participating establishments only on the presentation of a valid membership card.
D Dard™ membership is individual and non-transferable. Damask & Dentelle Partners have the right to request picture identification upon presentation of the D Card™. Breach of this condition may result in membership suspension and/or termination.
The D Card™ is valid for a period pf one (1) year from the date of purchase.
Lost, stolen or damaged cards will not be replaced and are not refundable.
Purchase or use of the D card™ constitutes acceptance of these terms and conditions.
A valid D Card™ must be presented at time of purchase to receive discount and other benefits.
D Card™ discount may not be valid with any other offer. See each offer for details (e.g. everyday discounts, promotions, seasonal sales, etc.).
Full name, address, telephone number and email address must be accurately provided on the D Card™ enrolment form to receive promotional and renewal updates. Damask & Dentelle Inc. cannot assume any liability for mail or e-mail that is lost, delayed, or misdirected.
We do not accept any responsibility if any establishment breaches its agreement or refuses to accept the card, however we will attempt to secure compliance at all times.
We reserve the right to change, modify or amend the conditions of the D Card™without Prior notice.

Each D&D membership expires after one calendar year. Hence, if you sign your D&D contract on April 1, 2010, your membership will expire on March 31, 2011. There will be no exceptions or grace period and you will need to sign-up for membership again through our Website if you wish to become a member.

ORDERING, Methods of Payment AND Billing
Once you have selected your membership and logged on to your D&D membership page, you will be able to finalize your order with us by inputting your shipping, billing and payment information.
Payment by PayPal™ is the only acceptable method of settling purchases on our Website. Orders placed on the Website will be billed at the price indicated on the order page of the Website prior to payment, and will include applicable taxes and shipping fees.
Should you decide to purchase items from our Website using PayPal™, you are automatically subject, in addition to this Agreement, to PayPal™ legal agreements, available here for Canadian Users. If you are located in a country other than Canada, please select the appropriate country.
You will receive an e-mail confirmation shortly after placing an order on the Website (the “Confirmation”). This Confirmation will serve as your proof of contract with D&D. The Confirmation will contain our contact information, a detailed description of what you ordered, an itemized list of the prices for the membership package you ordered, the total amount payable to D&D, the date and time at which the order was placed and when you can expect shipment to occur, as well as the applicable cancellation, rescission, return and exchange conditions, as well as a link to this Agreement.
Because of unforeseeable market fluctuations, D&D reserves the right to modify prices for memberships sold through our Website at any time, without prior notice. All prices quoted on the Website are in Canadian funds. Applicable taxes are not included in the prices quoted.

PERSONAL INFORMATION
D&D collects, uses and discloses personal information in accordance with its Privacy Notice and which may be changed from time to time by D&D in its discretion without any notice or liability to you or any other person by making an amended Privacy Notice accessible through the Website. By accepting this Agreement, and each time you use the Website, you consent to the collection, use and disclosure of your personal information by D&D in accordance with the Privacy Notice as it then reads.

GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement, your access to and use of the Website, and all related matters are governed solely by the laws in force in the Province of Quebec, Canada and the federal laws of Canada applicable therein. Any dispute between you and D&D or any other person arising from, connected with or relating to the Website, this Agreement, or any related matters (collectively "Disputes") will be resolved before the Courts of Quebec, sitting in the City of Montreal, and you hereby irrevocably submit and attorn to the original and exclusive jurisdiction of those courts in respect of all Disputes.
